Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Verse ("Verse", "we", "us", or "our"), operated from New Zealand. They govern your access to and use of our website at useverse.ai, our web application, the Verse Desktop application, our command line tools, our APIs, and the AI employees, workflows, integrations, and related features we provide (collectively, the "Service").
Verse lets you create and direct autonomous AI agents (we call them "AI employees") that can take real actions in the world on your behalf: sending communications, operating software, browsing the web, running code, and, where you enable it, spending money and placing trades. These Terms contain important provisions about your responsibility for those actions, limits on our liability, and risks you accept by using the Service. Please read them carefully.
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use Verse. By using the Service, you represent and warrant that you meet these requirements, that you are not barred from using the Service under the laws of any applicable jurisdiction, and that you are not subject to sanctions administered by New Zealand, the United States, the European Union, or the United Nations.
If you use Verse on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" and "your" refer to both you and the organization.
2. The Service
The Service provides software tools for creating, configuring, and running AI employees and automated workflows, including chat and voice interfaces, memory, integrations with third party services, cloud browsers and cloud computers, optional local computer control through Verse Desktop, skills and templates, and, where available, financial capabilities.
- AI employees are software, not people. Despite the name, AI employees are automated software agents. They are not human beings, and no employment, agency, partnership, or fiduciary relationship is created between you and Verse or between you and any AI employee.
- No professional advice. The Service and its outputs do not constitute legal, tax, accounting, medical, investment, or other professional advice, and no output should be treated as a recommendation or opinion from Verse.
- Features vary and change. Capabilities may be added, modified, gated behind plans or feature flags, suspended (including through safety kill switches), or discontinued at any time. Some features described in these Terms may not be available to you, in your region, or at all times.
- Estimates are estimates. Dashboards and reports may show figures such as time saved or value created. These are heuristic estimates for your interest only and are not promises, measurements of actual outcomes, or guarantees of results.
3. Your Account
When you create an account, you agree to the following:
- Provide accurate, current, and complete information and keep it updated
- Keep your credentials confidential and do not share your account
- You are responsible for all activity under your account, including everything your AI employees do, whether or not you specifically intended a particular action
- Notify us immediately at hello@useverse.ai of any unauthorized access or use
We may suspend or terminate accounts that violate these Terms, pose a security or legal risk, or engage in fraud, and we may require identity or account verification at any time.
4. Plans, Credits, and Billing
4.1 Plans and Credits
- Paid plans are billed in advance on a recurring monthly or annual basis at the prices shown at checkout. Plan features and limits are described on our pricing page.
- Plans include a monthly allocation of usage credits that is consumed as your AI employees work. Credits reset at the start of each billing month, do not roll over, have no cash value, and are not refundable or transferable.
- When your credits are exhausted, AI features pause until your next reset or an upgrade. We do not bill automatic overages.
- Free accounts receive a small one-time credit grant for evaluation, which does not renew.
- We may apply fair use protections, including daily usage ceilings, per-run limits, and rate limits, to protect the Service and our costs.
4.2 Automatic Renewal and Cancellation
Your subscription renews automatically at the end of each billing period, and your payment method is charged the then-current price, until you cancel. You can cancel at any time online through your account billing settings (managed by Stripe). If you cancel, you keep access until the end of the current billing period, and you will not be charged again. We do not provide refunds or credits for partial billing periods, except where required by law.
4.3 No Refunds
To the maximum extent permitted by law, all fees are non-refundable, including for cancellation, downgrade, dissatisfaction, unused credits, or termination for breach. Nothing in this section limits any non-excludable rights you have under applicable consumer law (see Section 17).
4.4 Price Changes and Taxes
We may change prices with at least 30 days notice; changes apply from your next billing cycle, and your sole remedy is to cancel before they take effect. Fees exclude taxes, which you are responsible for where applicable. If a payment fails, we may suspend paid features. Usage-based costs charged by third parties you connect (for example your own API keys or connected accounts) are your responsibility.
5. Autonomous AI Employees and Your Responsibilities
The core of the Service is autonomy: AI employees can plan and execute multi-step work, run on schedules, wake each other, spawn sub-agents, and act while you are away. This section is the heart of these Terms.
5.1 You Authorize and Own Agent Actions
When you create an AI employee, connect integrations, grant permissions, set autonomy levels, or give instructions, you authorize that AI employee to act on your behalf within those settings. Every action taken by your AI employees is attributed to you, including actions taken autonomously between your check-ins, actions that follow from earlier instructions, and actions that are unexpected results of imprecise instructions. As between you and Verse, you are the principal, and you are responsible for the consequences of agent actions as if you had taken them yourself.
5.2 AI Output Can Be Wrong
AI systems are probabilistic. Outputs and actions may be inaccurate, incomplete, outdated, biased, or wrong, may misinterpret your intent, and may fail in unexpected ways. You must review AI output before relying on it, and you must not treat any output as fact, advice, or a substitute for professional judgment.
5.3 Your Duty to Supervise
- Configure permissions, integrations, autonomy settings, spending limits, and approval requirements thoughtfully, and keep them appropriate to the risk of the work
- Respond to approval requests carefully. Approving an action is your decision, not ours
- Monitor your AI employees' activity and correct or stop them when needed
- Keep a human in the loop for any decision with legal, financial, medical, employment, or similarly significant effects on you or any other person. Do not use the Service to make fully automated decisions about other people where the law restricts that
- Test workflows and agents on low-stakes work before trusting them with high-stakes work
5.4 Guardrails Are Tools, Not Guarantees
The Service includes safety features such as human approval gates for sensitive actions, risk classification, spending limits and daily ceilings, session time limits, sandboxed execution, allowlists, kill switches, and anomaly detection. We provide these as tools to help you manage risk. They may be incomplete, may misclassify actions, and may fail. They do not shift responsibility for agent actions from you to us, and we do not warrant that any guardrail will prevent any particular action or loss.
5.5 AI Transparency
Where the law of your jurisdiction requires people to be told they are interacting with an AI system or that content is AI generated (for example under the EU AI Act), you are responsible for providing that disclosure when you deploy AI employees or publish their output to others.
6. Communications Sent by Your AI Employees
AI employees can send emails (from a dedicated agent address or from your own connected email account), post and reply on platforms such as Slack, Discord, Telegram, and social media, create calendar invites, and, where available, send SMS messages. For all such communications:
- You are the sender. Messages sent at your direction or under your configuration are your communications
- You must comply with anti-spam, telemarketing, and electronic messaging laws (including the NZ Unsolicited Electronic Messages Act, CAN-SPAM, TCPA, and equivalents), including consent, identification, and unsubscribe requirements
- You must comply with the rules of each platform an AI employee posts to, and you are responsible if your agent violates them
- You must not use AI employees to impersonate a human being in a misleading way, deceive recipients about who is communicating, or send unsolicited bulk messages
We may throttle, suspend, or disable messaging capabilities to protect deliverability, our platform accounts, and recipients.
7. Browser, Computer, and Local Device Control
7.1 Cloud Browsers and Cloud Computers
AI employees can operate cloud based browsers and cloud based computers to do work: visiting websites, filling forms, downloading files, running commands and code. You are responsible for what your agents do with these capabilities, including complying with the terms of service, robots directives, and access restrictions of websites and systems your agents interact with. Do not direct agents to bypass paywalls, CAPTCHAs, or security controls, or to access systems you are not authorized to access. Sessions are time limited and metered.
7.2 Local Computer Control (Verse Desktop)
If you install Verse Desktop and enable local computer access for an AI employee, that agent can run shell commands and code, read and write files, take screenshots, and control the mouse and keyboard on your own computer. This is powerful and inherently risky. You acknowledge and agree that:
- Agent actions on your machine can modify, delete, or transmit data, change settings, and affect installed software, and mistakes can cause data loss or system problems
- You enable this feature at your own risk, per agent, and you can and should keep it off for agents that do not need it
- You are responsible for maintaining backups of your data before allowing agents to work on your machine
- Certain destructive commands require your on-device approval; approving them is your decision, and the approval list is not a guarantee that every risky action will be intercepted
- To the maximum extent permitted by law, we are not liable for loss of or damage to your data, devices, software, or systems arising from local computer control
8. Integrations and Third Party Services
- The Service connects to third party platforms and APIs (email, chat, documents, CRMs, developer tools, financial services, and hundreds of others, including through our integration partner Composio). Your use of each third party service is governed by that service's own terms and policies, and you are responsible for complying with them
- You authorize Verse and your AI employees to access connected services on your behalf as you configure. You represent that you have the right to grant that access (for example, that a connected workspace or mailbox is yours to automate)
- We are not responsible for third party services, including their availability, performance, security, pricing, data practices, API changes, or decisions to suspend your access. If a third party service changes or becomes unavailable, we are not obliged to provide alternatives or refunds
- Third party services may charge their own fees, which are your responsibility
- You can disconnect integrations at any time in Verse or by revoking access at the third party
9. Skills, MCP Servers, and Other Third Party Code
You can extend AI employees with skills installed from GitHub repositories, a skills library, or a marketplace, connect external MCP servers, and turn external APIs into agent tools. This code and these servers are created by third parties (or by you), not by Verse:
- We do not author, control, endorse, or warrant third party skills, MCP servers, or APIs, even where the Service surfaces or curates them, applies trust heuristics, or runs them in sandboxes
- Installing and running third party code is at your own risk. Review what a skill does before installing it, and prefer sources you trust
- Sandboxing and credential brokering reduce risk but do not eliminate it, including the risk of malicious instructions embedded in content your agents read (prompt injection)
- If you publish a skill or share content to the marketplace, Section 11 (Your Content) applies, and you are responsible for what you publish
10. Financial Features
Where available and enabled by you, AI employees can interact with real money: placing trades through your linked brokerage, making purchases with issued cards, and, where offered, holding or transferring digital assets. This section applies to all such features, whether or not currently enabled for your account. If you do not accept these terms and risks, do not enable financial features.
10.1 Verse Is Not a Financial Institution or Adviser
- Verse is a software platform. We are not a bank, broker, dealer, custodian, money transmitter, financial advice provider, or investment adviser, and we are not licensed by the NZ Financial Markets Authority, the SEC, FINRA, or any similar regulator
- Nothing in the Service, and no output of any AI employee, is financial advice, a recommendation, or an opinion about buying, selling, or holding any financial product. Outputs are automated software results generated from your instructions and configuration
- We have no fiduciary duty to you. All investment and spending decisions, including decisions you delegate to AI employees within limits you set, are exclusively yours
10.2 Brokerage Trading
- Brokerage connections are non-custodial and provided through SnapTrade. Your funds and securities remain at your own brokerage; Verse never holds them. SnapTrade's terms apply to the connection, and your brokerage's terms apply to your account and all executions
- When you enable trading and configure an AI employee to trade, orders placed by that agent are your orders: instructions transmitted on your standing authorization. This includes orders placed autonomously within the limits you set
- Trading involves substantial risk of loss. Prices move, orders can execute at unexpected prices, markets can be volatile or closed, and automated strategies can compound errors quickly. You can lose some or all of the money you trade, and you accept that risk entirely
- Use the available controls (per-trade limits, daily limits, approval requirements, disabling crypto, or disconnecting) to bound your exposure. We may also impose, change, or reduce limits and may suspend trading features at any time for safety, legal, or operational reasons
- Market data, balances, and positions shown in the Service come from third parties, may be delayed or inaccurate, and must not be relied on as the sole basis for decisions
10.3 Cards and Spending
- Where card features are available, cards are issued by Stripe and its banking partners under separate agreements that will be presented to you and that you must accept before use. Those agreements govern the card program
- You are responsible for all spending on cards and wallets you enable for an AI employee, within or outside your intended limits, except as those separate agreements or applicable law provide otherwise. Configure spending controls carefully and review transactions
- Card features are for business purposes. Purchases made by agents from third party merchants are subject to those merchants' terms, and disputes are between you and the merchant or issuer
10.4 Digital Assets
- Where digital asset features are offered, digital assets are highly volatile, transfers are generally irreversible, and lost keys or mistaken addresses can mean permanent loss. Digital assets are not legal tender, not bank deposits, and not insured
- Wallet addresses and transactions may be screened for sanctions and financial crime, and we may block, delay, or report activity where required
- You are responsible for taxes on all trading, spending, and digital asset activity
10.5 Assumption of Financial Risk
You acknowledge that giving software autonomy over money is inherently risky, that software defects, model errors, misinterpreted instructions, third party failures, and market conditions can each cause financial loss, and that you enable financial features with full knowledge of these risks. To the maximum extent permitted by law, Verse is not liable for trading losses, investment performance, spending by AI employees, missed or failed transactions, or any other financial outcome.
11. Your Content and Intellectual Property
11.1 Your Content and Outputs
You retain ownership of the content you submit to the Service (prompts, instructions, files, configurations, workflows, skills you write, and connected data) ("Your Content"). As between you and Verse, and to the extent we hold any rights in them, we assign to you the outputs your AI employees generate for you. You are responsible for ensuring your use of outputs is lawful; outputs may not be unique to you, and AI generated material may have limited or no copyright protection in some jurisdictions.
You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and store Your Content and outputs as needed to operate, secure, and improve the Service and to comply with law. You represent that you have all rights needed to grant this license and that Your Content does not infringe the rights of others.
11.2 Publishing and Sharing
If you publish skills, share mini apps, or otherwise make content available to other users or the public through the Service, you additionally grant us and those recipients the rights needed to host, display, install, and use that content as intended by the sharing feature. We may review, remove, or disable shared content at our discretion, including for suspected violations, but we have no obligation to pre-screen it and are not responsible for it.
11.3 Our Intellectual Property
The Service, including its software, model configurations, interfaces, branding, and documentation, is owned by Verse or its licensors and protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service. We welcome feedback and may use it without restriction or compensation.
11.4 Infringement Complaints
If you believe content on the Service infringes your intellectual property rights, email hello@useverse.ai with the details of the work, the allegedly infringing material, and your contact information, and we will investigate and respond appropriately, including removing content and terminating repeat infringers where warranted.
12. Acceptable Use
You agree not to use the Service, and not to configure or instruct any AI employee, to:
- Violate any law or regulation, or the rights of any person, including intellectual property, privacy, and data protection rights
- Create or distribute malware; conduct phishing, scams, fraud, or money laundering; or engage in market manipulation or insider trading
- Send spam or unsolicited communications, harvest personal information, or conduct surveillance of individuals
- Harass, threaten, defame, or harm others, or generate content that sexualizes minors or incites violence
- Access systems, accounts, or data without authorization; probe or test the vulnerability of systems you do not own; or bypass security controls, rate limits, CAPTCHAs, or access restrictions of any service, including ours
- Circumvent credit metering, plan limits, safety guardrails, approval gates, or kill switches
- Mislead people into believing they are dealing with a human when required disclosures apply, or impersonate any person or entity
- Make fully automated decisions that produce legal or similarly significant effects on individuals (for example credit, employment, housing, insurance, or medical decisions) without the human oversight required by law
- Use the Service for weapons development, critical infrastructure interference, or other high-harm activities
- Resell, sublicense, or white-label the Service without our written agreement, use it to build a competing product, or scrape the Service
The Service is built on third party AI models. You must also comply with the usage policies of our model providers as they apply to your use, including Anthropic's Usage Policy and OpenAI's usage policies, which among other things require AI disclosure and human oversight for certain consumer-facing and high-impact uses. If a model provider requires us to restrict or terminate a particular use, we may do so.
We may investigate suspected violations and take any action we consider appropriate, including warning, throttling, removing content, suspending or terminating accounts without refund (to the maximum extent permitted by law), and reporting to authorities.
13. Privacy
Our Privacy Policy explains what information we collect and how we use, share, and protect it, including the AI model providers and other subprocessors involved in running the Service. If you provide us personal information about other people (or your AI employees process it from connected services), you are responsible for having the right to do so.
14. Disclaimers
To the maximum extent permitted by law, and subject to Section 17 (Consumer Rights):
- The Service and all outputs are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation
- We do not warrant that AI employees will achieve any particular result, quality of work, savings, revenue, or outcome, or that they will act as you intend in every case
- We do not warrant the Service will be secure, free of vulnerabilities, or immune to attacks such as prompt injection, or that safety features will catch every unsafe action
- Third party services, models, integrations, skills, and content are not warranted by us in any way
- Beta, preview, and flag-gated features are experimental and may be changed or withdrawn at any time
No advice or information obtained from us or the Service creates any warranty not expressly stated in these Terms.
15. Limitation of Liability
To the maximum extent permitted by law, and subject to Section 17 (Consumer Rights):
- Verse and its owners, operators, contractors, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, savings, business, opportunities, goodwill, or data, however caused and under any theory of liability, even if advised of the possibility
- Without limiting the above, we will not be liable for losses arising from: (a) actions taken or not taken by AI employees on your behalf, including communications sent, content published, data modified or deleted, and obligations entered into; (b) trading, investment, spending, or other financial activity (Section 10); (c) reliance on any output; (d) loss of or damage to your devices, software, or data, including through local computer control; (e) third party services, code, models, or content; (f) unauthorized access resulting from your failure to secure your account or connected services; and (g) suspension or unavailability of the Service
- Our total aggregate liability for all claims arising out of or relating to these Terms or the Service, taken together, will not exceed the greater of (a) the amounts you paid to Verse for the Service in the 12 months before the event giving rise to the claim, and (b) one hundred US dollars (USD $100)
These limitations apply regardless of the legal theory (contract, tort including negligence, statute, or otherwise) and even if a remedy fails of its essential purpose. They do not apply to liability that cannot be excluded or limited by law, including liability arising from our fraud or willful misconduct.
16. Indemnification
You agree to indemnify, defend, and hold harmless Verse and its owners, operators, contractors, licensors, and suppliers from and against all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) brought by any third party arising out of or relating to:
- Your use of the Service, including anything done by AI employees acting under your account
- Communications, content, transactions, and other actions your AI employees perform, including claims by message recipients, websites and platforms your agents interact with, counterparties, and people whose data your agents process
- Your Content and anything you publish or share
- Your breach of these Terms, of applicable law, or of third party terms or rights
We may assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us. You may not settle any such claim without our prior written consent. This section does not apply to the extent prohibited by applicable consumer law.
17. Consumer Rights and Business Use
Nothing in these Terms excludes, restricts, or modifies any right or remedy you have under law that cannot lawfully be excluded, restricted, or modified, including under the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986, the Australian Consumer Law, and equivalent consumer protection laws elsewhere. The disclaimers, limitations, and indemnities in these Terms apply only to the maximum extent permitted by law.
Business use: the Service is designed and marketed for business and professional purposes. If you acquire the Service in trade for business purposes, you agree that the New Zealand Consumer Guarantees Act 1993 does not apply, and that sections 9, 12A, 13, and 14(1) of the Fair Trading Act 1986 do not apply to the parties' dealings, to the extent permitted by those Acts, and you acknowledge that it is fair and reasonable for the parties to be bound by this clause.
If you are a consumer under mandatory local law, any non-excludable guarantees apply notwithstanding these Terms, and where our liability can be limited, it is limited to re-supplying the Service or paying the cost of re-supply.
18. Suspension and Termination
You may stop using the Service and cancel your subscription at any time (Section 4.2). You may request account deletion as described in the Privacy Policy.
We may suspend or terminate your access, disable features, or pause running agents at any time, with or without notice, if we reasonably believe you have violated these Terms, your use poses a risk to Verse, other users, third parties, or any system, we are required to by law or a provider, or we discontinue the Service. Where practical, we will give notice and an opportunity to export your data.
On termination: your right to use the Service ceases; running agents, schedules, and workflows stop; outstanding fees remain payable; and we may delete your data in accordance with the Privacy Policy. Suspension or termination for cause does not entitle you to any refund, to the maximum extent permitted by law.
Sections that by their nature should survive termination (including Sections 5, 10, 11, 14, 15, 16, 17, 19, and 20) do survive.
19. Governing Law and Disputes
These Terms are governed by the laws of New Zealand, without regard to conflict of laws principles. Subject to any mandatory consumer protections in your place of residence, the courts of New Zealand have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except that we may elect to refer a dispute to binding arbitration in New Zealand under the Arbitration Act 1996.
Before starting formal proceedings, you agree to contact us at hello@useverse.ai and attempt in good faith to resolve the dispute informally for 60 days.
To the maximum extent permitted by law, disputes will be resolved on an individual basis only, and not as part of any class, consolidated, or representative proceeding.
20. General
Changes to these Terms: we may update these Terms from time to time. For material changes we will give reasonable advance notice (for example by email or in-app notice, at least 30 days where the change materially reduces your rights). Changes apply from their effective date, and your continued use of the Service constitutes acceptance. If you do not agree, cancel and stop using the Service before the changes take effect.
Entire agreement: these Terms, the Privacy Policy, and any additional program terms you accept (for example card program agreements) are the entire agreement between you and Verse about the Service and supersede prior agreements. If a separately accepted program agreement conflicts with these Terms for that program, the program agreement controls.
Severability: if any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remainder stays in effect.
No waiver: our failure to enforce a provision is not a waiver of it.
Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets, or to a successor entity we form for the business.
Force majeure: we are not liable for delay or failure caused by events beyond our reasonable control, including outages of infrastructure, AI model providers, or other third party services, natural disasters, war, or government action.
Export and sanctions: you must comply with applicable export control and sanctions laws in your use of the Service.
Notices: we may give you notices by email to your account address or within the Service. Legal notices to Verse must be sent to hello@useverse.ai.

By using Verse, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not use the Service.
