Legal in the sidebar is where you manage everything legal about your company. It fills in as your company gets established, and only you, the owner, can see it.
Overview
What's waiting on you comes first, answered right there. Then your company at a glance: its legal name, structure, where it's based, its registration, registered agent, EIN and year end, and every part of its legal setup with where it stands. On the right, its status, the next filing due and how many documents are signed.
Incorporation
How your company is registered and where that stands. Once the structure is picked and the name is cleared, select File the company to start. A Wyoming LLC is filed through doola: you connect your own doola account, check the details and pay doola directly. Elsewhere, everything is prepared for you to submit on the registry's own site. Open the filing shows the filing itself, and Certificate downloads it once your company is registered.
Ownership
Your cap table: who holds what and their fully diluted share, your option pool and what's left in it, and the SAFEs and notes outstanding. It's built from signed documents only. Officers and directors are below; change them on Details.
New document
Select New document to make a SAFE, a convertible note, a stock purchase or share certificate, a promissory note, an equity incentive plan, a stock option grant, restricted stock, an 83(b) election, a board or shareholder consent, an indemnification agreement, an offer letter, an employment agreement, a confidentiality and invention assignment agreement or an advisor agreement. Fill in the details and the document appears beside them as you type. Select Save draft, or Save and send for signature: you sign in Verse, and everyone else gets a link by email. What's available follows your company's structure.
Each document shows where it stands, with Sign, Send, Resend, Edit and Cancel. Once everyone has signed, stock and grants go on your cap table. When someone receives restricted stock, Verse prepares their 83(b) election and puts the 30-day deadline on your calendar.
Documents
The documents you made, then your founding documents, contracts, policies and company record, with who has signed each and a PDF to download. Select a document to read or sign it. Under Your files, select Add a file to keep your own: a certificate, a tax number letter, a licence or a signed agreement.
Compliance
Every filing your company owes, soonest first, with a link to file it and Mark filed once it's done. You get a reminder 30 days and 7 days before each one. Your tax numbers, sales tax registrations and licences are here too.
Details
Your company's legal record: its legal and trading names, where it's based, its registration and tax numbers, its addresses, its owners and officers, and its year end. Select Edit on any row to change it. What you set here stays as you set it.
